Compensation of Supervisory Board members

The currently applicable regulations on the Supervisory Board's compensation are set out in Section 17 of the Articles of Association of Siemens AG.

The Annual Shareholders’ Meeting of February 12, 2026, resolved, with a majority of 97.04% of the valid votes cast, to adjust the compensation system and the provisions of the Articles of Association regarding the compensation of the Supervisory Board members.

The adjusted compensation system as well as the wording of the amendments to the Articles of Association can be found under agenda item 7 of the Notice of the 2026 Annual Shareholders’ Meeting.

The provisions of the adopted amendment to the Articles of Association shall, upon their effectiveness, replace the current provisions in Section 17 (1) sentence 1 and (2) of the Articles of Association and shall apply for the first time to the fiscal year beginning on October 1, 2025.

The previous compensation system for the members of the Supervisory Board, which was resolved by the Annual Shareholders’ Meeting on February 3, 2021, with a majority of 97.49% of the valid votes cast, and confirmed by the Annual Shareholders’ Meeting on February 13, 2025, with a majority of 98.02% of the valid votes cast, can be found in the Notices of the Shareholders’ Meetings 2021 and 2025 under agenda item 7 and 8 respectively.
